Board of Directors Membership

Description of Role

​

The Board of Directors are a governing body of Fur the Love of Animals (FTLOA) that are established through nominations and applications with members selected via majority vote. The board is responsible for the financial health and integrity of the nonprofit organization. Directors are voting members and vitally support the mission and vision of FTLOA. They ensure the organization makes decisions in line with its stated purpose and goals. Aside from general membership, officers with specific additional responsibilities are selected by a majority vote, and these include a president, a vice-president, a secretary, and a treasurer.

 

Membership is voluntary without monetary compensation.

Responsibilities

​

Collectively the Board of Directors are responsible for actively governing FTLOA and ensuring the organization is operating in pursuit of its stated mission and vision in conjunction with the law.

 

Every board member is held responsible for the duty of care and the duty of loyalty as outlined under Vermont law.

 

The Board of Directors are collectively responsible for generating an Annual Budget for FTLOA and actively participating in fundraising efforts.

 

The board regularly reviews and edits, as applicable, the bylaws and articles of incorporation governing FTLOA.

 

Collectively the board oversees, reviews, and maintains accounting records in conjunction with the annual budget.

 

Minutes are recorded for all board meetings and must be properly filed.

Requirements

​

Members of the board believe in the mission and vision of FTLOA and wish to support the organization towards these ends.

​

Members will represent FTLOA genuinely, professionally, and passionately.

 

Each new member of the board must commit to serving one (1) full term. Each term is one (1) year from the date of being voted in. Members can serve multiple terms but the total cannot exceed six (6).

Attendance is required at the Annual Board of Directors Meeting held in June of each year. The date and time will be decided upon by the current board and disclosed accordingly.

 

Regular attendance is expected at the monthly board meetings whether in-person or virtually. The board meets a minimum of once a month, but additional meetings may be decided necessary at the discretion of the board. 

 

Board members will provide an annual gift totaling an amount that is meaningful for them as a show of their commitment to FTLOA and their membership on the board. This gift can be monetary or in-kind.

 

Personal fundraising goals are required of each member of the board to be pursued within each term of service in addition to regular support of the organization’s fundraising efforts.

 

Members are willing to utilize specialized skills, professional experiences, and unique interests as part of the board in support of FTLOA.

Additional Notes

​​

Members do not have to be residents of Vermont to become a member of the board of directors. 

 

Candidates must be of voting age at a minimum of eighteen (18) years, lawfully abiding citizens of the United States, and cannot have a past criminal record in relation to fraudulence, animal abuse and/or neglect, illegal ownership of exotic animals, and/or illegal selling, trading, breeding, hunting, and/or trapping of any and all animal species.
